Terms of Service – Using Agent Mira’s AI Real Estate Platform

Welcome to Agent Mira! These Terms of Service (“Terms”) govern your use of our website and services. By accessing or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By accessing or using any Agent Mira platform services (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

You agree to use our services only for lawful purposes and in compliance with all applicable laws. You shall not:

3. Agent Mira Platform Suite

Agent Mira operates an integrated suite of real estate technology products, including the Buyer Portal and Realtor Portal. Each product may have additional specific interface guidelines, but all are governed by these Terms.

Agent Mira provides tools and services to assist in the homebuying process, including:

4. USER ACCOUNTS AND ELIGIBILITY

4.1 Account Types

Buyer Accounts: For individuals seeking to purchase real estate
Realtor Accounts: For licensed real estate professionals
Brokerage Accounts: For real estate brokerages managing multiple agents

4.2 Eligibility
You must be at least 18 years old and legally capable of entering into contracts in your jurisdiction. For real estate transactions, additional age and capacity requirements may apply based on local laws.

4.3 Professional Use
Licensed real estate professionals may use the Platform in their professional capacity to provide information to clients and take actions on behalf of clients, provided you have obtained all required authorizations and consents from such clients.

4.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

5. BROKERAGE RELATIONSHIP DISCLOSURE

5.1 Technology Platform Only
Agent Mira operates this Platform as a technology service provider. Use of the Platform does not create an agency, fiduciary, or professional relationship with Mira, its affiliates, or its employees.

5.2 Florida Brokerage License
Agent Mira holds a Florida real estate brokerage license but operates this Platform as a technology service provider nationwide. Use of this Platform does NOT create a brokerage relationship between Agent Mira and users unless separately contracted in writing under a specific brokerage agreement.

5.3 Existing Realtor Relationships
Buyers invited by realtors maintain their existing client relationship with that realtor. The Platform facilitates but does not replace that relationship.

6. AI RECOMMENDATIONS AND DISCLAIMERS

6.1 Algorithm-Based Recommendations
Our AI provides property recommendations based on your stated preferences and behaviour. These are suggestions only for informational purposes and should not be your sole basis for real estate decisions.

6.2 Accuracy Disclaimer
We do not guarantee the accuracy, completeness, or reliability of AI-generated recommendations, including but not limited to property valuations, offer price recommendations, market trend predictions, investment potential assessments, and neighbourhood analytics. The recommendations do not constitute financial advice, legal advice, appraisal, or brokerage services. Agent Mira disclaims liability for decisions made in reliance on AI or forecasted outcomes

6.3 Professional Advice Required
Always consult with qualified real estate professionals, financial advisors, and legal counsel before making real estate decisions. Buyers and Realtors must independently verify information (e.g., property condition, flood zones, schools, valuations).

7. DATA SOURCES AND PROPERTY INFORMATION

7.1 Third-Party Data
Property information is sourced from MLS systems, ATTOM Data, public records, mapping services (e.g., Google Maps), and other third-party providers. We do not verify this information independently.

7.2 Information Currency
Property information may not reflect the most current status. Always verify with listing agents or current property records.

8. MLS DATA TERMS AND COMPLIANCE

8.1 MLS Data Usage
MLS data usage is governed by applicable MLS licensing agreements. Commercial redistribution of MLS data outside this Platform is prohibited. Different MLS systems may have varying terms of use.

8.2 MLS Copyright
Each MLS that provides data displayed through the Platform holds a copyright in its MLS database. You acknowledge the respective MLS’s proprietary rights to its data.

Where applicable, certain MLS data access requires acknowledgment that:

9. USER CONTENT AND DOCUMENT UPLOADS

9.1 Document Storage and Use
Documents you upload may be retained as described in our Privacy Policy and Data Retention Policy. We may use uploaded content for backend data collection, algorithm improvement, and to guide personalized recommendations. We will not share, reproduce, or redistribute your uploaded documents to third parties without consent.

9.2 Access Rights
Uploaded documents are accessible by you, your designated realtor (if applicable), and our authorized staff solely for service provision and Platform improvement.

9.3 User Responsibility
You are responsible for ensuring you have the right to upload any documents, that they comply with applicable laws, and that you have obtained necessary consent for any personal information of third parties contained within.

9.4 Prohibited Content
Do not upload illegal, fraudulent, copyrighted content that you do not own, or content that violates third-party rights.

9.5 Data Export Rights
You may request export of your uploaded documents and account data as described in our Privacy Policy.

10. COMMUNICATIONS AND MARKETING

10.1 Platform Communications
Communications between realtors and their clients through the Platform are governed by their existing professional relationship. Agent Mira is not responsible for the content of such communications or compliance with professional standards. Communications may be recorded or monitored for quality assurance and training purposes.

10.2 Marketing Communications
We will send promotional communications with your consent. You may opt out at any time through account settings or by following unsubscribe instructions.

10.3 Transactional Communications
You consent to receive transactional messages related to your account, product and service updates, and security notifications via email, SMS, or in-platform notifications.

11. PRIVACY AND DATA PROTECTION

11.1 Privacy Policy
Your privacy is governed by our Privacy Policy, incorporated herein by reference.

11.2 International Users
If you access the Platform from outside the United States, you consent to the transfer of your data to the United States for processing and storage.

12. ACCEPTABLE USE

12.1 Permitted Uses
Use the Platform only for legitimate real estate search and professional real estate services.

12.2 Prohibited Uses

13. INTELLECTUAL PROPERTY

13.1 Platform Ownership
The Agent Mira Platform, its algorithms, original content, trademarks, and proprietary technology are owned by Agent Mira and protected by intellectual property laws.

13.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes during the term of your account.

13.3 User Content License
By uploading content, you grant us a license to use, modify, and analyze such content for Platform operation, improvement, and data analytics, but not for external sharing or reproduction.

14. ACCOUNT SUSPENSION AND TERMINATION

14.1 Termination by User
You may terminate your account at any time through account settings or by contacting support.

14.2 Termination by Us
We may suspend or terminate accounts for violations of these Terms, illegal activity, or other legitimate business reasons. We will provide notice when reasonably practicable.

14.3 Effect of Termination
Upon termination, your access to the Platform will cease, though certain provisions of these Terms will survive termination.

15. DISCLAIMERS AND LIMITATIONS

15.1 “As Is” Service
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.

15.2 No Real Estate Advice
Buying/selling real estate involves risks, including financial loss, and you assume all such risks. AI recommendations and forecasts are estimates only, not guarantees of performance, appreciation, or suitability.

15.3 Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount paid by you for Platform services in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

15.4 No Fiduciary Duty
Unless you have a separate written brokerage agreement, Mira does not act as your agent, attorney, financial advisor, or fiduciary.

15.5 Platform Availability
We do not guarantee uninterrupted or error-free Platform operation.

15.6 Third-Party Data
Agent Mira is not responsible for errors or omissions in MLS/ATTOM/Map data.

16. INDEMNIFICATION
You agree to indemnify and hold harmless Agent Mira, its officers, directors, employees, and agents from claims, damages, and expenses arising from your use of the Platform, violation of these Terms, or violation of third-party rights.

17. FAIR HOUSING COMPLIANCE
Agent Mira supports the principles of the Fair Housing Act and Equal Opportunity. We do not control listings or their compliance but prohibit discrimination in use of our Platform.

18. DISPUTE RESOLUTION

18.1 Informal Resolution
Before filing any formal dispute, contact us to seek informal resolution.

18.2 Binding Arbitration
Disputes will be resolved through binding arbitration rather than in court, with class action waiver.

19. GOVERNING LAW AND JURISDICTION
These Terms are governed by Florida law, to the extent permitted by applicable law in your jurisdiction. Court proceedings (if not subject to arbitration) will be conducted in Florida state or federal courts.

20. EXPORT CONTROLS
You agree not to export any part of the Platform except in compliance with all applicable export laws, rules and regulations.

21. NOTICE TO CALIFORNIA RESIDENTS
If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 to resolve complaints or receive further information.

22. CONSENT TO COMMUNICATIONS
By using the Platform, you consent to receiving electronic communications from us as described in our Privacy Policy. Electronic communications will satisfy legal communication requirements.

23. GENERAL PROVISIONS

23.1 Entire Agreement
These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement regarding Platform use.

23.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full force.

23.3 Assignment
You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

23.4 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

23.5 Notices
We may provide notices through the Platform, email, or postal mail. Notices to us must be sent to 1301 MILAN AVENUE #6 CORAL GABLES, FL 33134.

24. CHANGES TO TERMS
We may update these Terms from time to time with notice of material changes. Continued use after notice constitutes acceptance of updated Terms.
